Terms of Service

1. Agreement to these Terms
These Terms of Service ("Terms") govern your use of Local Directory Builder, including localdirectorybuilder.com, the admin console, and the directory websites built with it (together, the "Service"). The Service is operated by MK153 INC, doing business as Client Builder Pro ("we", "us"). By creating an account or using the Service you agree to these Terms, our Privacy Policy and our Acceptable Use Policy. If you use the Service for a business, you agree on its behalf and confirm you may bind it.
2. The Service
Local Directory Builder lets you create and run local business directory websites under your own brand: add and import listings, let business owners claim their listings, collect enquiries and reviews, run a community wall, and connect your own domain. Features may differ by plan and may change over time.
3. Accounts and eligibility
- You must be at least 18 years old and use the Service for business purposes.
- Accounts are available to members of Client Builder Pro whose email address we have approved. Give us accurate information and keep it current.
- You are responsible for everything that happens under your account and for keeping your sign-in secure. Tell us promptly at info@clientbuilder.pro if you suspect unauthorized use.
4. Membership and billing
Access is included with a paid Client Builder Pro membership, purchased through the Client Builder Pro checkout at the price shown when you buy. Payments are processed by Stripe; we do not receive or store your full card details. Your membership renews each billing period until you cancel. You can cancel at any time by emailing info@clientbuilder.pro or using the cancellation option we provide, and cancellation takes effect at the end of the period you have paid for. If your membership ends or payment fails, we may suspend or limit your account and your directory websites. Refunds are described in section 4A. We will give notice under section 18 before changing what the membership includes for the Service. Until our checkout opens, memberships are billed through the Skool community platform, which processes those payments under its own terms; you cancel those memberships through Skool.
4A. Refunds
- New memberships: if you are not satisfied, email info@clientbuilder.pro from the address on your account within 14 days of your first payment and we will refund that payment in full. This applies once per customer and business. Your membership ends when the refund is made and your directories are then handled as described in section 5; you can still ask for a copy of your data under section 11.
- Renewals: renewal payments and partly used billing periods are not refunded. Cancel before your next renewal to avoid the next charge.
- Mistakes: we refund duplicate charges and charges made in error.
- Refunds go back to the original payment method through our payment processor, usually within 10 business days of our approval. We may decline a refund for an account we suspended or ended for a breach of these Terms or the Acceptable Use Policy. Nothing here limits a refund the law requires.
- For memberships billed through Skool before our checkout opened, we arrange the refund through Skool or, where Skool cannot process it, pay it to you directly.
5. Your content and your directories
- You own your content: the listings, text, images, settings and other material you add ("Your Content"). You give us a worldwide, non-exclusive licence to host, copy, display and process Your Content only to operate and improve the Service for you.
- You are responsible for Your Content, including its accuracy and your right to use it. When you import or copy listings, photos or reviews from other sources, you must have the right to do so and follow those sources' terms and licences, including required attributions.
- You run your directory. Your directory websites are your business. You are responsible for how you deal with the businesses and visitors who use them, and for giving your visitors any notices the law requires. The Service provides a default notice on each directory site describing how its forms handle information.
- Archiving. You can archive a directory from the console. An archived directory's public site goes offline and its data is kept for 180 days; after that we delete it. You can restore an archived directory from the console during those 180 days while your membership is active.
- When your membership lapses or ends. If your membership lapses because a payment is not made, or after you cancel or receive a refund, your admin becomes read-only and your public sites stay online for 14 days. If the membership is not paid within those 14 days, we archive your directories on the terms above. If we end your access outright (for example under section 11), we archive them at once. We also archive a directory 30 days after its trial ends without an upgrade. Paying again does not restore an archived directory by itself: restore it from the console.
- We may remove content that we reasonably believe breaks these Terms, the Acceptable Use Policy or the law, or that exposes us or others to harm.
6. Information your visitors submit
Your directory websites can collect information from visitors and business owners, such as enquiries, listing claims, reviews, community posts and member sign-ups. We process that information on your behalf to deliver it to you and to run those features, as described in the Privacy Policy. You agree to use it lawfully, only for the purposes it was submitted for, and to honour requests to correct or delete it (ask us at info@clientbuilder.pro and we will delete it for you). We do not verify listings, claims or reviews, and a listing's presence on a directory is not an endorsement by us.
7. AI features
Some features use artificial intelligence, for example to screen community posts before a person reviews them, or to generate content with an AI provider you connect. AI output can be wrong or incomplete; review it before you publish or rely on it. You are responsible for content you publish, whether or not AI helped produce it.
8. Third-party services and your own keys
The Service relies on third-party providers (listed in the Privacy Policy) and lets you connect services of your own, such as AI or mapping providers, using your own API keys. Your use of those services is governed by their terms, and any charges they bill to your keys are yours. We are not responsible for third-party services, and they may change or stop working.
9. Domains
Each directory gets an address on our platform domain. If you connect your own domain, you must own or control it and keep its DNS pointing at the Service. We may disconnect a domain that no longer points to us, that you cannot show you control, or that is used in breach of these Terms.
10. Availability and changes
We work to keep the Service available and secure, but it is provided without an uptime guarantee and may be interrupted for maintenance, failures or events outside our control. We may add, change or remove features. Keep your own copies of content that matters to you.
11. Suspension and termination
You may stop using the Service at any time. We may suspend or end your access, with or without notice, if you breach these Terms or the Acceptable Use Policy, if your membership ends, or if we reasonably need to in order to protect the Service, other customers or the public. Within 30 days after your account ends you may ask us at info@clientbuilder.pro, from the email address on your account, for one copy of your directory data as held in our systems: your listings (with links to their images) and the submissions your directories received, as described in section 6. We will email it to that address as CSV files, at no charge, within 30 days of your request. While your directories remain in our systems you may also download the same copy yourself from the console at any time. Listings imported from other sources are included, with their source and licence, only where that source's terms allow us to hand them to you. We withhold listings from sources whose terms do not allow this, or whose terms we have not yet confirmed; the copy tells you which sources were withheld and how many listings from each. You may use any imported listing we include only under its source's terms, and where a licence requires attribution (for example OpenStreetMap, ODbL 1.0) the attribution is in the copy and must stay with the data. We may withhold information we are not allowed by law to hand over, and we may decline if we ended your account for fraud or for unlawful use of personal information. When your account ends we archive your directories as described in section 5: we keep Your Content and those submissions for 180 days and then delete them, and remaining backup copies are deleted on our normal backup cycle (about 13 months). This is our only obligation to return data after your account ends. Sections that by their nature should survive termination (including 5, 12 to 17) continue to apply.
12. Our intellectual property
The Service, its software, design and branding belong to us and our licensors. These Terms do not give you any right to them except to use the Service as allowed here. If you send us suggestions, we may use them without obligation to you.
13. Disclaimer of warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR PRODUCE ANY PARTICULAR BUSINESS RESULT, TRAFFIC OR REVENUE.
14. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY CALIFORNIA LAW, MK153 INC AND ITS OFFICERS, EMPLOYEES AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF (A) THE FEES YOU PAID FOR YOUR CLIENT BUILDER PRO MEMBERSHIP IN THE 12 MONTHS BEFORE THE CLAIM AROSE, LESS ANY REFUNDS, AND (B) US$100.
15. Indemnification
You agree to indemnify and hold harmless MK153 INC and its officers, employees and agents from claims, losses and expenses (including reasonable legal fees) arising from Your Content, your directories, your dealings with businesses and visitors, or your breach of these Terms or the law.
16. Dispute resolution
If a dispute arises, you agree to first try to resolve it informally by contacting us at info@clientbuilder.pro. If it is not resolved within 30 days, either party may pursue binding arbitration administered by JAMS under its Streamlined Arbitration Rules, held in the State of California. Any dispute will be resolved only on an individual basis and not in a class, consolidated or representative action.
17. Governing law
These Terms are governed by the laws of the State of California, without regard to its conflict of law rules. Any proceeding not subject to arbitration will be brought in the state or federal courts located in San Diego County, California.
18. Changes to these Terms
We may update these Terms. We will post the new version here with a new "Last updated" date. For a material change, we will also email the address on your account at least 14 days before the change takes effect, unless the change is required by law or needed to keep the Service secure, in which case it may take effect sooner. Keep that address current; notice sent to it counts as notice to you. Continuing to use the Service after a change takes effect means you accept it.
19. General
If any part of these Terms is unenforceable, the rest stays in effect. These Terms, the Privacy Policy and the Acceptable Use Policy are the whole agreement between you and us about the Service. You may not transfer your account without our consent. Our not enforcing a right is not a waiver of it.
